Beechwood Media Participation & Release Agreement

Effective upon submission of this application form.

1. Parties

This Agreement is entered into between Beechwood ("Company," "we," "us," or "our") and the individual submitting this application ("Participant," "you," or "your"). By checking the box below and submitting this form, you agree to be bound by these terms.

2. Consent to Use of Likeness

Participant irrevocably grants Beechwood, its affiliates, licensees, successors, and assigns, the unlimited, royalty-free, worldwide right and license to record, photograph, film, and capture Participant's name, image, voice, likeness, statements, biographical information, and any other identifying characteristics (collectively, "Likeness") in connection with the Beechwood video series and related content.

Beechwood may use, reproduce, distribute, modify, publicly display, publicly perform, broadcast, publish, and create derivative works of Participant's Likeness in any and all media now known or hereafter devised, including but not limited to social media platforms, websites, streaming services, television, digital advertising, and promotional materials, in perpetuity, without further consent, notice, or compensation to Participant.

3. No Compensation

Participant acknowledges and agrees that participation in the Beechwood video series is voluntary and unpaid unless a separate written compensation agreement is executed between the parties. Submission of this application does not create any obligation on Beechwood to feature, film, or publish content involving Participant.

4. No Endorsement of Products / No Purchase Responsibility

Beechwood is not responsible for the purchase, quality, availability, safety, or performance of any products or services that may be mentioned, displayed, discussed, or referenced in connection with the video series. Any mention of a product or brand does not constitute an endorsement by Beechwood. Participant is solely responsible for any independent purchasing decisions they make. Beechwood shall not be liable for any loss, damage, dissatisfaction, or expense arising from any product or service purchased by Participant or any third party based on content in the video series.

5. Waiver of Claims

Participant waives any right to inspect or approve the finished content, advertising copy, or other material produced using Participant's Likeness. Participant waives all claims, demands, and causes of action against Beechwood arising out of or relating to the use of Participant's Likeness as described herein, including but not limited to claims for defamation, invasion of privacy, right of publicity, or misappropriation.

6. Representations and Warranties

Participant represents and warrants that: (a) Participant is at least 18 years of age; (b) Participant has full legal authority to enter into this Agreement; (c) the information provided in this application is accurate and truthful; and (d) Participant's participation will not violate any agreement, law, or third-party right.

7. Confidentiality

Participant agrees to keep confidential any non-public information about Beechwood's production methods, unreleased content, business strategies, and personnel that Participant may become aware of through participation in the video series, and shall not disclose such information to any third party without Beechwood's prior written consent.

8. Social Media Conduct

If Participant posts or shares any content related to their participation in the Beechwood video series on personal social media accounts, Participant agrees to clearly disclose the relationship with Beechwood in compliance with applicable FTC guidelines and platform policies. Participant shall not make false, misleading, or disparaging statements about Beechwood or its products.

9. Indemnification

Participant agrees to indemnify, defend, and hold harmless Beechwood and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with: (a) any breach by Participant of this Agreement; (b) any inaccuracy in Participant's representations; or (c) any claim by a third party relating to Participant's conduct during production.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Beechwood shall not be liable to Participant for any indirect, incidental, special, consequential, or punitive damages arising out of or related to Participant's involvement in the video series, even if Beechwood has been advised of the possibility of such damages.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. Any disputes arising under this Agreement shall be resolved exclusively in the state or federal courts located in Florida.

12. Entire Agreement

This Agreement constitutes the entire understanding between Participant and Beechwood with respect to the subject matter hereof and supersedes all prior discussions, representations, and agreements. This Agreement may not be modified except in a signed writing by both parties.

13. Severability

If any provision of this Agreement is found to be unenforceable, the remaining provisions shall continue in full force and effect.
